Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of EMB Automation at https://emb-automation.com(the “Site”) and any services provided by EMB Marketing LLC(“we,” “us,” or “EMB”). By using the Site or engaging us for services, you agree to these Terms. If you do not agree, do not use the Site.

2. Services

EMB provides AI automation, workflow development, web development, e-commerce management, advertising management, and related professional services. Specific scope, deliverables, timelines, and fees for an engagement are set out in a separate written proposal or statement of work (“SOW”) agreed between EMB and the client. In the event of a conflict between these Terms and an SOW, the SOW controls for that engagement.

3. Client Responsibilities

When you engage us, you agree to:

• Provide accurate, complete information and timely feedback on deliverables.
• Grant the access and credentials required to build and maintain your automations, and revoke them promptly when an engagement ends.
• Ensure you have the legal right to any data, content, or third-party accounts you ask us to work with.
• Comply with the terms of service of any third-party platforms we integrate on your behalf.
• Pay invoices in accordance with your SOW.

4. Intellectual Property

The Site, its content, and any templates, tutorials, or downloads we make publicly available are owned by EMB Marketing LLCand protected by copyright and other laws. Ownership of custom deliverables produced under an SOW is governed by that SOW; absent specific terms, EMB grants the client a perpetual, non-exclusive license to use deliverables for the client's business after full payment is received. EMB retains the right to re-use general know-how, patterns, and non-client-specific components.

5. Payment Terms

Fees, billing cadence, and payment methods are set in each SOW. Unless otherwise agreed, invoices are due within 15 days of the invoice date. Overdue amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law, and EMB may pause work on any engagement with a past-due balance.

6. Free Templates and Downloads

Workflow templates, tutorials, and other free resources are provided “as is” for personal and commercial use in your own business. You may not resell, redistribute, or package them as part of a competing offering.

7. Third-Party Services

Our services often rely on third-party platforms (for example, n8n, Shopify, Google, Meta, OpenAI, Anthropic, Vercel, Neon, Supabase, Resend, Twilio). We do not control those platforms and are not responsible for their availability, pricing, policy changes, or outages. Your use of third-party platforms is governed by the applicable provider's terms.

8. Disclaimers and Warranties

The Site and our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, EMB disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding specific business, revenue, or performance outcomes from automation.

9. Limitation of Liability

To the fullest extent permitted by law, EMB Marketing LLCwill not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Site or our services. EMB's total aggregate liability for any claim arising out of an engagement will not exceed the fees actually paid by you to EMB for the specific services giving rise to the claim in the six (6) months immediately preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless EMB Marketing LLCand its personnel from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Site or services in violation of these Terms, (b) content, data, or credentials you provide, or (c) your violation of applicable law or the rights of a third party.

11. Termination

We may suspend or terminate access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to EMB, our clients, or others. Termination of any engagement is governed by the relevant SOW. Sections intended to survive termination (for example, intellectual property, limitation of liability, indemnification, and governing law) will survive.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Any dispute arising from these Terms or our services will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time. The “Effective” date at the top reflects the most recent change. Continued use of the Site after an update constitutes acceptance of the revised Terms.
